These Terms and Conditions (these “Terms”) govern your access to and use of https://auvry.com and any other websites, pages, mobile experiences, or online services that link to these Terms (collectively, the “Site”), operated by Auvry, Inc. (“Auvry,” “we,” “us,” or “our”).
By accessing or using the Site, submitting a request, requesting a quote, creating an account (if available), or booking or using any services offered by or through Auvry, you agree to be legally bound by these Terms and acknowledge our Privacy Policy and any other policies referenced on the Site (all incorporated by reference). If you do not agree, you may not use the Site.
1. Definitions
For purposes of these Terms:
- “Account” means a user account you may create on the Site (if enabled).
- “Booking” means any reservation request, itinerary request, booking request, or confirmed reservation for Services (as defined below).
- “Client,” “you,” or “your” means the individual or entity accessing or using the Site or requesting or using Services.
- “Fees” means all amounts charged for Services, including base charges, hourly charges, minimums, waiting time, overtime, tolls, airport fees, fuel surcharges, parking, permits, cleaning fees, damage fees, administrative fees, taxes, and other charges disclosed or otherwise authorized under these Terms or service-specific terms.

- “Services” means any services offered, arranged, coordinated, or provided by Auvry, which may include (without limitation) chauffeured ground transportation, corporate and executive transportation coordination, event transportation logistics, concierge/lifestyle coordination, and private aviation coordination (where available).
2. Auvry’s Role; Third-Party Fulfillment
2.1 Auvry May Act in Different Capacities
Depending on the Service and jurisdiction, Auvry may act as a direct service provider, coordinator, intermediary, broker, or agent. Some Services are fulfilled directly by Auvry; others are fulfilled by independent Service Providers.
2.2 Independent Service Providers
Unless expressly stated otherwise in writing by Auvry, Service Providers are independent contractors and are not Auvry’s employees. The Service Provider is responsible for the performance and delivery of the Services it provides, including operational compliance, staffing, equipment, and safety.
2.3 Private Aviation; No Air Carrier Operations
If Auvry assists with private aviation or air transportation coordination, you acknowledge and agree that Auvry does not operate aircraft and is not an “air carrier.” Any air transportation is provided by properly licensed aircraft operators and/or direct air carriers, and may be subject to additional terms, notices, and conditions imposed by the applicable operator and by applicable law.
3. Eligibility; Authority
By using the Site, you represent and warrant that:
- you are at least 18 years old (or the age of majority where you reside);
- you have the legal capacity to enter into binding contracts; and
- if you are acting on behalf of a company or another person, you have authority to bind that entity/person to these Terms.
4. Changes to the Site and Terms
We may modify the Site, Services, or these Terms at any time. The “Last Updated” date reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
5. Privacy; Electronic Communications; Notices
5.1 Privacy
Your use of the Site is subject to our Privacy Policy. By using the Site or submitting information through it, you consent to our collection and use of information as described in the Privacy Policy.
5.2 Electronic Communications
You consent to receive communications from us electronically (including by email and/or SMS where applicable) regarding your requests, Bookings, updates, receipts, and notices. You agree that electronic communications satisfy any legal requirement that communications be in writing.
5.3 Notices to You
We may provide notices by posting to the Site, sending to the email address you provide, or by other reasonable means.
6. Permitted Use; Prohibited Conduct
You may use the Site solely for lawful purposes and in accordance with these Terms. You agree not to:
- use the Site for any fraudulent, deceptive, unlawful, or abusive purpose;
- submit false, misleading, or incomplete information;
- access (or attempt to access) non-public areas, systems, or data;
- interfere with or disrupt the Site or its security (including malware, bots, scraping, or denial-of-service attacks);
- copy, reproduce, distribute, sell, resell, or exploit any portion of the Site except as expressly permitted; or
- infringe or violate Auvry’s or any third party’s rights.
We may suspend or terminate access for violations as described in Section 19.
7. Quotes, Requests, Bookings, and Confirmations
7.1 No Offer; Informational Content
Information on the Site is provided for general informational purposes and does not constitute a binding offer.
7.2 Booking Requests Are Not Confirmed Until Accepted
A request submitted through the Site (or via email, phone, or messaging) is not a confirmed Booking until you receive express written confirmation from Auvry (or, if communicated through Auvry, confirmation from the applicable Service Provider).
7.3 Client Responsibility for Accurate Details
You are responsible for providing accurate and complete Booking details, including pickup location, times, passenger count, luggage, special requirements, access instructions, and any other requested information. If information provided is inaccurate or incomplete, additional Fees may apply and service performance may be impacted.
7.4 Right to Refuse or Cancel
Auvry reserves the right to refuse, cancel, or suspend any request or Booking (before or after confirmation) where reasonably necessary for safety, compliance, operational constraints, credit/payment issues, suspected fraud, or violation of these Terms.
7.5 Service-Specific Terms Control
Certain Services may be subject to additional terms, including operator/passenger terms, charters or supplier agreements, corporate account terms, event addenda, and cancellation terms provided at confirmation. If there is any conflict, the service-specific terms govern for that Service.
8. Pricing, Fees, Payments, and Authorizations
8.1 Estimates and Quotes
Unless expressly stated as a firm fixed price in writing, all quotes are estimates based on the details you provide and assumptions at the time of quoting. Final Fees may vary due to changes in itinerary, wait time, overtime, additional stops, traffic conditions, airport or venue conditions, provider rate changes, regulatory fees, and other factors.
8.2 Additional Fees
Additional Fees may include (without limitation) waiting time, overtime, additional stops, parking, tolls, cleaning/soiling, damage, special requests, after-hours service, and other surcharges communicated at confirmation or incurred consistent with these Terms.
8.3 Payment Authorization
By providing a payment method, you authorize Auvry (and/or its payment processors) to charge your payment method for all Fees, including additional Fees authorized under these Terms and any service-specific terms.
8.4 Deposits; Prepayment; Credit Approval
We may require deposits, full prepayment, credit card preauthorization, or alternative payment methods depending on the Service type, market, lead time, and Booking value.
8.5 Taxes
Fees may exclude applicable taxes or government charges unless stated otherwise. You are responsible for any applicable taxes unless prohibited by law.
8.6 Currency
Unless otherwise stated, all charges are in USD.
9. Changes, Wait Time, Overtime, Stops, Cleaning, Damage, and Conduct
9.1 Changes and Modifications
Changes to a Booking are subject to availability and may result in repricing or additional Fees. We do not guarantee that changes can be accommodated.
9.2 Wait Time; Overtime
Wait time and overtime may be billed based on the applicable rate schedule and may begin at the scheduled pickup time unless otherwise stated in your confirmation.
9.3 Additional Stops
Additional stops, routing changes, and detours may increase Fees.
9.4 Cleaning, Soiling, Smoking/Vaping, and Damage
You are responsible for additional Fees arising from excessive cleaning, soiling, smoking/vaping where prohibited, bodily fluid cleanup, stains, or any damage caused by you or your party.
9.5 Passenger Conduct and Safety
You and your party must comply with all applicable laws and any reasonable instructions from Auvry or the driver/crew for safety and service delivery. Service may be refused or terminated for safety concerns, unlawful activity, abusive behavior, or noncompliance. Where service is refused or terminated due to your breach, you may remain responsible for applicable Fees.
10. Cancellations, No‑Shows, and Refunds
10.1 Policies Vary; Confirmation Controls
Cancellation, modification, and refund policies vary by Service, Service Provider, location, lead time, and market conditions. The policy communicated at the time of confirmation (or incorporated service-specific terms) controls.
10.2 No‑Shows
A “no‑show” may include failure to appear within any applicable grace period, inability to contact you using the information you provided, denial of entry/access to a pickup location, or failure to provide required information or documentation. No‑shows may be charged up to 100% of applicable Fees.
10.3 Refund Timing
Approved refunds (if any) will be issued to the original payment method, subject to payment processor timelines. Certain administrative fees may be non-refundable where permitted by law.
11. Billing Disputes and Chargebacks
If you believe a charge is incorrect, you agree to contact us promptly at inquiries@auvry.com to attempt to resolve the issue. Unauthorized or bad‑faith chargebacks may result in cancellation of pending Bookings, suspension of access, and collection efforts for amounts owed, including reasonable administrative costs and attorneys’ fees where permitted by law.
12. Third‑Party Links and Content
The Site may contain links to third‑party websites or resources. We do not control and are not responsible for third‑party content, terms, privacy practices, or availability. Accessing third‑party websites is at your own risk.
13. Intellectual Property
The Site and its content (including text, graphics, logos, trademarks, designs, and software) are owned by Auvry or its licensors and are protected by intellectual property laws.
Subject to these Terms, Auvry grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purposes. All rights not expressly granted are reserved. You may not use Auvry’s trademarks without our prior written consent.
14. User Submissions; Feedback
If you submit content or information through the Site (including feedback, testimonials, or reviews), you represent that you have the right to submit it and that it does not violate any law or third‑party rights. To the extent you provide suggestions or feedback, you grant Auvry a perpetual, worldwide, royalty‑free license to use and incorporate it without obligation or compensation, unless prohibited by law.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.
Auvry does not warrant that the Site will be uninterrupted, secure, or error‑free, or that any information will be accurate or complete.
Transportation and travel services may involve inherent risks, delays, cancellations, weather impacts, traffic, security events, government actions, and operational disruptions. You assume these risks to the extent permitted by law.
Some jurisdictions do not allow certain disclaimers; in such jurisdictions, some disclaimers may not apply to you.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- No Indirect Damages. Auvry will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption arising out of or relating to the Site or Services, even if advised of the possibility of such damages.
- Cap on Liability. Auvry’s total liability arising out of or relating to the Site or Services will not exceed the total Fees paid to Auvry for the specific Booking or Service giving rise to the claim.
- Third‑Party Providers. To the maximum extent permitted by law, Auvry is not liable for the acts or omissions of independent Service Providers.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Auvry, its affiliates, officers, directors, employees, contractors, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your access to or use of the Site or Services;
- your Booking, travel, or conduct (including that of your passengers/guests);
- your violation of these Terms or applicable law; or
- your violation of any third‑party rights.
Auvry may assume control of the defense of any matter subject to indemnification, and you agree to cooperate.
18. Force Majeure
Auvry will not be liable for any failure or delay due to events beyond Auvry’s reasonable control, including acts of God, severe weather, natural disasters, war, terrorism, labor disputes, pandemics, government actions, internet/telecom failures, supplier failures, vehicle/aircraft unavailability, airport closures, air traffic control restrictions, or security events.
19. Suspension and Termination
We may suspend or terminate your access to the Site or Services at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a risk to safety or operations, or for security/compliance reasons. Sections that by their nature should survive (including payment obligations, disclaimers, limitations of liability, indemnities, and dispute provisions) will survive termination.
20. Governing Law; Venue; Dispute Resolution
20.1 Informal Resolution First
Before filing a claim, you agree to contact us at inquiries@auvry.com and provide a written description of the issue and the relief requested. The parties will attempt in good faith to resolve the dispute informally within 30 days.
20.2 Governing Law
Except where prohibited by law, these Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑laws principles.
20.3 Venue
Except where prohibited by law, you agree that any legal action or proceeding arising out of or relating to these Terms, the Site, or the Services shall be brought exclusively in the state courts located in Pasco County, Florida, or, if federal jurisdiction exists, in the United States District Court for the Middle District of Florida, and you consent to personal jurisdiction and venue in such courts.
21. Limitation Period
To the maximum extent permitted by law, any claim arising out of or relating to the Site or Services must be brought within one (1) year after the event giving rise to the claim, otherwise it is permanently barred.
22. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
23. Severability; Waiver; Interpretation
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver. Headings are for convenience only and do not affect interpretation.
24. Entire Agreement
These Terms, together with the Privacy Policy and any service-specific terms, confirmations, corporate agreements, or addenda applicable to a Booking, constitute the entire agreement between you and Auvry regarding the Site and Services, and supersede prior or contemporaneous communications and understandings on that subject.
